Shifting Securities Disclosure Online

Saskatchewan Regulations 65/2026 amends The Securities Commission (Adoption of National Instruments) Regulations to implement changes to National Instrument 51-102, Continuous Disclosure Obligations, and National Instrument 54-101, Communication with Beneficial Owners of Securities of a Reporting Issuer. Issued through a Securities Commission Order and a Minister’s Order.

The principal change is the creation of a framework allowing reporting issuers to provide electronic access to annual and interim financial information through SEDAR+, rather than routinely distributing paper copies or request forms to security holders. The amendments introduce new sections 4.5.1 through 4.5.4 of National Instrument 51-102, establishing disclosure, notification and website-posting requirements for issuers using this approach. The changes are intended to facilitate electronic access while preserving investors’ ability to obtain financial documents without charge.

For annual financial statements and related management’s discussion and analysis (MD&A), a reporting issuer that previously used the applicable electronic-access framework must issue and file a news release at least 25 calendar days before the subsequent news release announcing the availability of those documents. The advance notice must explain that the annual financial statements and MD&A will be accessible through SEDAR+ and provide information about SEDAR+ notifications, obtaining paper or electronic copies, and continuing standing instructions for investors who have elected to receive documents electronically or by mail.

A second news release must be issued and filed no later than one calendar day after the annual financial statements and MD&A are filed on SEDAR+. This release must state that the documents are accessible through SEDAR+ and again explain how investors can receive notifications or request copies directly from the reporting issuer. Similar requirements apply to interim financial reports and related MD&A. Where applicable, issuers must provide advance notice at least 25 calendar days before the availability announcement and then issue the availability announcement within one calendar day after filing.

The amendments also establish specific electronic-access disclosure requirements. Issuers using the new system must include a prominent statement in proxy-related materials, notices, or a separate letter-sized document explaining that financial statements and MD&A are filed on SEDAR+, that annual request forms and routine copies will no longer necessarily be sent, and that investors may continue to request documents without charge. Investors who have standing instructions to receive financial documents will continue to receive them according to those instructions unless they change them.
